We are partnering with a nationally recognized, full-service law firm with a sophisticated investment management and private funds practice that advises fund sponsors, institutional investors, family offices, and emerging managers across the full fund lifecycle to find an extroadinary **Senior Counsel Investment Funds Associate**. This firm is known for handling complex domestic and cross-border matters, delivering strategic counsel on high-value transactions, and maintaining a collaborative, high-performance legal environment across multiple U.S. offices. Hybrid (3/2 Schecule) working from one of the following locations: New York \| Delaware \| Florida \| Maryland \| New Jersey \| Texas \| Washington, D.C. We are seeking a highly experienced **Investment Funds Attorney** with deep expertise in fund formation, structuring, and regulatory compliance to join a sophisticated and growing practice. This opportunity is ideal for an attorney who thrives in a high-level advisory environment and enjoys serving as a strategic partner to investment managers, sponsors, and institutional clients across complex investment structures. This role offers exposure to sophisticated transactional work, marquee clients, and multi-jurisdictional matters within a collaborative and intellectually rigorous legal platform. KEY RESPONSIBILITIES: * Lead fund formation and structuring matters across private equity, hedge funds, venture capital funds, real estate funds, and other alternative investment vehicles * Advise clients on SEC, CFTC, and investment adviser regulatory matters throughout the fund lifecycle * Draft, review, and negotiate limited partnership agreements, operating agreements, subscription agreements, side letters, private placement documents, and related fund documentation * Counsel fund sponsors, asset managers, and institutional investors on governance, compliance, operational, and transactional issues * Collaborate closely with attorneys across corporate, tax, securities, and regulatory practices on sophisticated client engagements * Manage multiple complex matters simultaneously while maintaining exceptional client service and responsiveness * Serve as a trusted advisor to clients on evolving regulatory developments and market trends impacting investment funds QUALIFICATIONS * **10 years**of substantive experience focused on investment funds formation, structuring, and regulatory compliance * Strong background representing private fund sponsors, investment advisers, and institutional investors * Experience at an **AmLaw, Vault-ranked, or nationally recognized investment funds practice** * **Active bar admission**in at least one relevant U.S. jurisdiction * Exceptional drafting, negotiation, analytical, and client counseling skills * Strong academic credentials from an accredited law school * Ability to operate effectively in a fast-paced, high-performance legal environment * Demonstrated stability in career progression and professional experience PREFERRED BACKGROUND * Experience advising on private equity, hedge fund, venture capital, and hybrid fund structures * Familiarity with securities regulations, investment adviser compliance, and fund governance matters * Ability to independently manage sophisticated client relationships and high-value transactions * Strong interpersonal skills with a client-first, solutions-oriented mindset COMPENSATION \& BENEFITS * Base salary ranging from $300,000 -- $520,000 depending on experience, market, and overall qualifications * Comprehensive benefits package including medical, dental, vision, retirement programs, and professional development support * Opportunity to work from one of seven major U.S. legal markets * Access to sophisticated deal flow, high-profile clients, and collaborative leadership teams * Long-term career growth within a highly respected legal platform IDEAL CANDIDATE PROFILE The ideal candidate combines elite technical investment funds experience with strong business judgment, executive-level communication skills, and the ability to build lasting client relationships.
