You want direct client contact, accelerated partnership potential, and a practice group that's growing fast. You're comfortable managing the full lifecycle of debt and equity offerings and know your way around SEC reporting. This is a clear step up in responsibility, with mentorship from a practice group leader who grew his book from $3M to $21M in six years. **What You'll Do** * Draft and review registration statements, prospectuses, and offering documents for debt and equity deals * Prepare and file SEC periodic reports: 10-Ks, 10-Qs, 8-Ks, and proxy statements * Manage full due diligence processes for capital markets transactions * Advise mid-cap issuers and investment banks on corporate governance and SEC compliance * Run deals from kick-off to closing with meaningful autonomy and direct partner mentorship **What We're Looking For** * 4--8 years of capital markets law experience at a law firm (required) * Hands-on experience with SEC reporting and public offerings * Eagerness to take on deal leadership and a clear path to partnership * Candidates from Cravath-scale firms should note: base is intentionally below BigLaw scale; bonuses are competitive and the firm targets market bonus levels **IMPORTANT TO KNOW** Hybrid in NY or Boston (specific in-office days TBD).
